Terms of Service
These Terms are an agreement between you and CollabWav. By creating an account or using the site you agree to them, to our Privacy Policy, Copyright Policy and Cookie Policy. If you don't agree, please don't use the site.
1. Who can use CollabWav
You must be at least 13 years old (or older if your country requires) and able to enter a binding agreement. If you are under 18, you need a parent or guardian's permission. You must not be barred from using the service under applicable law.
2. Your account
Give accurate information, keep your password secure and tell us if you think your account has been used without permission. You are responsible for what happens under your account. One person, one account.
3. What CollabWav does, and doesn't do
CollabWav is a board where musicians find each other. We are not a party to any agreement between members, and we are not a record label, publisher, manager, employer or agent of any member.
- No payments. We do not process, hold, guarantee or escrow any money. Any payment, royalty or credit is arranged and paid directly between members.
- No enforcement. We do not verify members, check the quality of anyone's work or enforce deals. Put important terms in writing before you start (see Artist Resources).
- Your risk. You decide who to work with and who to share files with.
4. Your content
You keep ownership of what you post (requests, text, links, messages and profile). You grant CollabWav a non-exclusive, worldwide, royalty-free licence to host, display and distribute it on and through the site, only so we can run the service. This ends when you delete the content or your account, except for copies that other members have lawfully received or that remain in backups for a short time.
Audio files you upload (MP3, WAV, M4A, AAC or OGG, up to 12 MB) are content too: only upload music you own or have permission to share. Audio attached to a request can be played by anyone who can see the request.
You are responsible for your content and promise that you have the rights needed to post it and that it does not break the law or anyone's rights.
Your collaboration work with other members is yours to agree between you. Unless you agree otherwise in writing, don't assume you own or can release a track made with someone else.
5. No copyright infringement
Do not post, link to, upload or share anything that infringes someone else's copyright or other intellectual property. In particular, you must not:
- Post music, lyrics, samples, stems, artwork, video or other material that you do not own or have a licence or permission to use.
- Link to pirated, leaked or unauthorised copies of any work.
- Ask other members to copy, clone or "re-create" a protected recording or song so you can pass it off as your own or avoid licensing it.
- Use a sample, loop or beat without the licence it needs, or remove credit or rights information from a work.
We respond to valid notices of infringement, remove infringing material and, in appropriate circumstances, terminate repeat infringers' accounts. Read the Copyright Policy to report a problem or send a counter-notice.
6. Acceptable use
You must not:
- Break any law or anyone's rights, including privacy and publicity rights.
- Harass, threaten, impersonate or deceive others, or post hateful, sexually explicit or violent content.
- Post spam, run scams, ask for money upfront in exchange for "opportunities", or phish for personal or financial details.
- Upload malware or interfere with, scrape, overload or probe the security of the site.
- Message members in bulk, or use the site to advertise unrelated services.
- Try to access accounts or data that are not yours.
7. Moderation, suspension and termination
We may remove content, limit features, or suspend or end an account if we reasonably think these Terms have been broken, the law requires it, or it protects members or the site. We will try to tell you why where we can. You can close your account at any time by contacting us. Sections that by their nature should survive (such as 4, 5, 9, 10, 11 and 12) will survive.
8. Disputes between members
If you have a disagreement with another member, resolve it with them directly. CollabWav is not responsible for, and will not mediate or pay, any claim between members. You release CollabWav from claims arising from those disputes to the extent the law allows.
9. Disclaimers
The site is provided "as is" and "as available", without warranties of any kind, express or implied, including fitness for a particular purpose and non-infringement. We don't promise the site will always be available or error-free, that you will receive responses, or that members are who they say they are. Nothing on the site is legal, financial or tax advice.
10. Limit of liability
To the fullest extent the law allows, CollabWav and its owners will not be liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, income, data or goodwill, arising from your use of the site or your dealings with other members. Our total liability for any claim will not exceed US$100. Some places don't allow these limits, so they may not apply to you, and nothing here limits liability that can't be limited by law.
11. Indemnity
You agree to defend and compensate CollabWav and its owners against claims, losses and costs (including reasonable legal fees) arising from your content, your breach of these Terms, or your infringement of anyone's rights.
12. Governing law
These Terms are governed by the laws of the State of TN, United States, without regard to conflict-of-law rules. Courts there have exclusive jurisdiction, except where your local consumer law gives you the right to bring a claim in your home courts.
13. Changes to these Terms
We may update these Terms. We will change the date above and, for significant changes, notify you on the site or by email. Using the site after changes take effect means you accept them.
